USER AGREEMENT - TERMS OF USE

IWT-IRC’s aim is to promote international co-operation and technology transfer from and
to Flanders. The Technology Transfer Market (TTM) is a partner search service
offered by IWT-IRC and comprises a database with technology offers (TO) and
requests (TR). Without prejudice to the legal protection of the website, the
database is protected by the Belgian law on copyright and on databases.
Registered users of the TTM can react to the TO and TR published on the
website or submit a new TO or TR themselves. They also have the option to be
automatically informed about TO or TR in their sectors of interest.

The user engages to:
to provide the necessary information about their
organisation and the technology to facilitate the partner search service by
IWT-IRC. The user informs IWT-IRC immediately about later changes.
to cooperate fully to and to give feedback about
the partner search service of IWT-IRC;
to follow up the contacts established through
IWT-IRC, to inform IWT-IRC on a regular basis and in case of an agreement to
confirm this in an IWT-IRC document
to take the appropriate measures to protect the
know how concerned (secrecy, patent, trade mark, or any other intellectual
right), to check the freedom to operate and to inform the recipient about it.

IWT-IRC engages to:
to follow up on the reactions of the user to TO
or TR from the TTM and to provide the user with guiding advice during
resulting negotiations;
eventually to assist the user in editing a TO or
TR for distribution throughout Europe.

Both parties agree :
to treat all information received, which is
explicitly labelled “Confidential”, with the all necessary care to avoid
disclosure to any third party;
not to transfer the agreement between user and
IWT-IRC to any third party. This obligation merely includes that the user
will not impart any specific data nor addresses received from IWT-IRC to any
third party, unless otherwise agreed. IWT-IRC reserves the right to
communicate specific data of the partner search service to the financing
authorities for reporting activities.
to motivate termination of any cooperation
resulting from the partner search service;
that IWT-IRC only intervenes as a facilitator to
establish international cooperation and that the user always assumes the full
responsibility for all further information exchanged and the manner in which
he treats it;
that IWT-IRC makes no guarantees or warranties as
to the content or qualities of any third party services in relation or
accessible through the partner search service.
that IWT-IRC makes no guarantee or warranty as to
disturbances or interruptions of the Technology Transfer Market caused by
technical defects, maintenance or installation work nor as to the change or
disappearance of information as a result thereof. Security of information is
a risk in the current information system, and IWT-IRC takes no responsibility
of the security risks, like viruses, in the system.
